Liability
Acquirer is liable for all liabilities, unless stipulated otherwise. A mandatory rule is that acquirer is liable for all liabilities he knew about or should’ve known about (due dilligence) → liable for all liabilities in companies books but not for e.g. liabilities from torts. also only liable for total amount of assets received
